Terms & Conditions (English)

Welcome to Ajerx Limited (“Ajerx,” “we,” “our,” or “us”). These Terms and Conditions govern your use of our websites (ajerx.com), social media pages, products, and services. By accessing or using our platforms, you agree to be bound by these Terms.

We operate in two domains:

  1. Physical Products: tangible goods sold via our platform(s).
  2. Digital Products & Services: SaaS subscriptions, software development, mobile apps, website/eCommerce development, SEO, digital marketing, and consulting services.

1. Purchase & Sale Terms

1.1 Ordering
  • Orders may be placed via our websites or official social media pages.
  • An order is confirmed only upon receipt of an official confirmation (invoice, email, SMS, or platform notification).
  • We may cancel orders due to stock unavailability, technical error, incorrect pricing, or suspected fraudulent activity.
1.2 Pricing & Payment
  • All prices are in Bangladeshi Taka (BDT), unless otherwise specified.
  • Accepted payment methods include COD, mobile financial services (e.g., bKash, Nagad), bank transfer, and credit/debit cards.
  • For SaaS and service projects, payment schedules/milestones are defined in the specific contract or subscription plan.
  • Payments must be completed as agreed before product delivery or service activation.
1.3 Delivery & Access
  • Physical products: delivered within the timeline stated at checkout (subject to logistics/external factors).
  • SaaS & digital services: delivered via account activation, digital access, license keys, or agreed project milestones.
  • Customers must provide accurate delivery and contact information.
1.4 Returns & Refunds
  • Physical Products (Tangible Items): Returns are accepted if the item is defective, damaged, or not as described. Requests must be made within 48 hours of delivery. Items must be unused, sealed, and in original packaging. Refunds are processed to the original payment method within 7–10 working days after approval. Opened/used items, perishable goods, and discounted items are non-returnable.
  • Digital Products & Services (Intangible Items): Return and refund terms may vary by product or service and will be defined in the individual product/service contract or subscription agreement.
    • SaaS Subscriptions: Monthly or yearly contracts; once activated, subscriptions are non-refundable and non-returnable.
    • Custom Software / SEO / Mobile App / Web Development / Consulting: Project-specific contracts govern cancellation/refund terms tied to milestones and deliverables.
  • Customers should review the applicable contract or agreement before completing the purchase.
1.5 Exchanges
  • Exchanges are available only for physical products that are defective, damaged, or wrongly delivered (request within 48 hours).
  • Digital products/services are not eligible for exchange once delivered or activated.

2. Use of Services & Eligibility

  • Users must be at least 18 years old or have parental/guardian consent.
  • Use our platforms only for lawful purposes and keep your information accurate and up to date.

3. Intellectual Property

  • All content, trademarks, logos, software, and designs are the property of Ajerx or its licensors.
  • Customers receive a limited, non-transferable license to use purchased/subscribed software/services. Ownership remains with Ajerx unless agreed otherwise in writing.

4. Confidentiality

Both parties agree to maintain confidentiality of proprietary/sensitive information exchanged during service delivery. This obligation continues after termination.

5. Warranties & Disclaimers

  • Physical products may be covered by manufacturer/supplier warranty, where applicable.
  • Digital services and SaaS are provided “as is” and “as available,” without warranties of uninterrupted availability, error-free performance, or guaranteed results.

6. Limitation of Liability

  • To the maximum extent permitted by law, Ajerx is not liable for indirect, incidental, or consequential damages.
  • For physical products: liability is limited to the purchase price.
  • For digital products/services: liability is limited to the fees paid for the subscription or project in question.

7. Termination & Suspension

We may suspend/terminate access for violations of these Terms or other valid reasons. Termination does not release customers from outstanding payment obligations.

8. Governing Law & Jurisdiction

These Terms are governed by the laws of Bangladesh. Disputes are subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

9. DBID Compliance

  • We will display our DBID certificate/number on our websites and official social media pages.
  • These Terms are published in both English and Bangla to comply with DBID Registration Guidelines 2022 (including Clause 4(b)).

10. Changes to Terms

We may update these Terms from time to time. Updates will be posted on our websites and social media. Continued use after updates constitutes acceptance.
